Terms & Conditions

Our quotations are subject to the terms and conditions of the standard License Agreement.

  • Payment terms: net 30 days, except for new customers, for whom payment is due upon receipt of invoice.
  • Our quotations exclude all costs associated with any federal, state, provincial or local taxes that may apply.
  • Pricing contained in our documents is valid for 30 days from the document date.
  • As part of this software purchase, ME&S services will be provided to the Licensee for a period of 12 months from the shipment date of the software. Maintenance includes access to updated version(s) of the software, as well as phone and email-based software support from Fluids & C° for this period.
  • At the conclusion of this initial 12-month period, ME&S services may be renewed at the rate of 25% of the current license price per year.
  • If the Licensee does not renew their ME&S contract before the current contract expires, a 30-day grace period applies. At the end of the 30-day grace period, ME&S contract renewals are subject to both retroactive maintenance fees (i.e. the renewal will be treated as beginning when the old contract ends), plus a 25% penalty.
  • If a new ME&S contract is not purchased within the 30-day grace period, a permanent, unsupported license file will be provided to the Licensee.
  • Payment may be made by bank transfer or credit card.
  • Fluids & C° owns or has valid title for the software being licensed and has the right to grant a license to the Licensee.
  • Fluids & C° represents it has taken commercially reasonable efforts to ensure that the software, at the time of delivery, is free from any known and undisclosed computer code, programs, or programming devices that are intentionally designed to disrupt, modify, access, delete, damage, deactivate, disable, harm, or otherwise impede in any manner the operation of the Licensee’s systems, including any software, firmware, hardware, computer system, or network (including “Trojan horses,” “viruses,” “worms,” “time bombs,” “time locks,” “devices,” “traps,” “access codes,” or “drop dead” or “trap door” devices) that would erase data or programming or otherwise cause the Licensee’s systems to become inoperable or incapable of being used in the manner for which they were designed or in accordance with Fluids & C°’s documentation.
  • Fluids & C° agrees to indemnify, defend, and hold the Licensee harmless from any third-party claim brought against the Licensee that the software infringes or misappropriates any U.S. patent, copyright, trademark, trade secret, or other intellectual property rights of a third party.
